Terms and Conditions

Effective Date: September 7, 2026

Last Updated: September 7, 2026

Welcome to ITalent4U (accessible at https://www.italent4u.com/, the “Site”). These Terms and Conditions (the “Terms”) constitute a legally binding agreement between ITalent4U LLC (“ITalent4U,” “we,” “us,” or “our”), a company organized and existing under the laws of the State of Wyoming, United States, and you (“User,” “you,” or “your”), whether personally or on behalf of an entity.

By accessing or using the Site or our recruitment, staffing, sourcing, and referral services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and Services and must discontinue use immediately.

1. Scope of Services
ITalent4U operates as a US-based recruitment, headhunting, and talent-matching platform. We assist corporate clients (“Clients” or “Employers”) in identifying, evaluating, and connecting with technical and professional talent (“Candidates” or “Applicants”) located in Mexico, Latin America (LATAM), the United States, and worldwide.

2. Candidate Terms & Submissions
If you use the Site as a job seeker or prospective candidate:

No Guarantee of Representation or Employment: Submitting a resume, application, profile, or other personal materials does not guarantee that ITalent4U will represent you, review your submission, secure interviews, or guarantee an employment offer or freelance engagement with any Client.

Accuracy of Representations: You warrant and represent that all information provided in your resume, application, portfolio links, interview communications, and profile is true, accurate, complete, and not misleading. Providing false credentials, fabricated employment history, or forged certifications constitutes a material breach of these Terms and grounds for immediate removal from our network.

Independent Relationship: Submitting your resume or being introduced to a Client does not establish an employment, joint venture, agency, or partnership relationship between you and ITalent4U, unless expressly executed via a separate written employment or independent contractor agreement signed by both parties.

Right to Share Materials: By submitting your resume or application, you grant ITalent4U a worldwide, non-exclusive license to review, format, evaluate, and share your application materials with prospective Clients for hiring consideration, subject to our Privacy Policy.

3. Client & Employer Terms
If you use the Site on behalf of an organization seeking talent:

Informational Inquiries: Submitting an inquiry, talent request, or job description through the Site does not bind ITalent4U to deliver candidates until a formal, written Master Services Agreement (MSA), Statement of Work (SOW), or Recruitment Fee Agreement has been executed.

Precedence of Direct Agreements: If there is any conflict between these website Terms and a fully executed client agreement (such as an MSA or Staffing Agreement), the terms of that specific written agreement shall prevail.

Non-Circumvention: Clients agree not to solicit, contact directly, or hire any Candidate introduced by ITalent4U outside the scope of our recruitment process with the intent of circumventing applicable placement or referral fees. Specific non-circumvention windows and fee schedules are governed by our definitive client agreements.

4. Acceptable Use & User Conduct
You agree to use the Site only for lawful, legitimate professional purposes. You agree not to:

Use any automated means (spiders, crawlers, scraping tools, bots) to extract candidate profiles, job postings, contact details, or proprietary content from the Site.

Introduce viruses, trojans, worms, or other malicious software designed to compromise the security or operation of the Site.

Post or transmit any unlawful, threatening, abusive, defamatory, discriminatory, or infringing content.

Impersonate another person or misrepresent your affiliation with any entity or employer.

Attempt to gain unauthorized access to our servers, databases, or third-party integrations (e.g., ATS, CRM, or hosting environments).

5. Intellectual Property Rights
Unless otherwise indicated, the Site, its features, and all original text, graphics, logos, branding, user interfaces, code, and design (“Site Content”) are owned by or licensed to ITalent4U and are protected by United States and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Site solely for your personal or internal business recruitment needs. No part of the Site Content may be copied, reproduced, aggregated, republished, or distributed for commercial exploitation without our prior written consent.

6. Disclaimers
"As-Is" and "As-Available": The Site and Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, ITalent4U disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Candidate Performance Disclaimer: While ITalent4U employs rigorous screening and evaluation techniques (including AI-assisted tools and human vetting), we make no representations or warranties regarding the character, integrity, performance, technical competence, legal work authorization, or long-term suitability of any Candidate introduced to a Client. Hiring and final engagement decisions rest solely with the Client.

Third-Party Platforms: The Site may contain links to third-party tools, platforms, or websites (e.g., LinkedIn, assessment portals, scheduling tools). ITalent4U is not responsible for the availability, content, or accuracy of external sites.

7. Limitation of Liability
To the fullest extent permitted by law, in no event shall ITalent4U, its officers, directors, employees, affiliates, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profits, lost revenue, loss of data, loss of business opportunity, or hiring disputes—arising from your use of the Site, reliance on site content, or our talent-matching Services, even if advised of the possibility of such damages.

In any event, ITalent4U's total cumulative liability to you for any claim arising out of or relating to these Terms or the use of the Site shall not exceed the amount paid by you to ITalent4U in the three (3) months preceding the claim, or one hundred US dollars ($100.00 USD), whichever is greater.

8. Indemnification
You agree to defend, indemnify, and hold harmless ITalent4U and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

Any employment or contractual dispute between a Candidate and a Client introduced through the Services.

9. Governing Law and Jurisdiction
These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and each party irrevocably submits to the personal jurisdiction and venue of such courts.

While our Services facilitate cross-border staffing across Mexico, LATAM, and internationally, Users who access the Site from outside the United States are responsible for compliance with their respective local labor, tax, and privacy regulations regarding their own employment and business activities.

11. Severability & Waiver
If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. No waiver by ITalent4U of any breach or default shall be deemed a waiver of any preceding or subsequent breach.

12. Modifications to Terms
We reserve the right to revise, update, or replace these Terms at our sole discretion at any time. The updated version will be indicated by a revised "Last Updated" date at the top of this page.
